President Director of PT Trisula Textile Industries Tbk - Karsongno Wongso Djaja explained, the business prospects of the textile sector is very promising. Referring to data from Indonesian Textile Association (API), the growth of textile industry in Indonesia is predicted to continue to improve with annual average growth (CAGR) of 7.9%.

 

"Textile and textile products (TPT) is the second largest exporting industry with a contribution of 10.8% of total exports during 2016," he said in a press statement in Jakarta, Wednesday, October 4, 2017.

 

PT Trisula Textile Industries Tbk - one of the business pillars of the Trisula Corporation Group based in Cimahi, West Java, has just conducted Listing Listing at the Indonesia Stock Exchange. The Company with BELL's stock trading code, determines the price at the time of initial public offering (IPO) at the level of Rp 150 per share or at the upper limit of the bid price.

 

The promising prospects of the textile business are also supported by the rapidly evolving fashion and the growing need for corporate uniform from corporate companies as an effort to form a positive image. "The textile industry is very promising," Karsongno said.

 

Currently, the company uses Bellini and Caterina brands for textile sales in local (domestic) and export markets such as Japan, the Middle East of South America, Australia and Vietnam. As for corporate uniform is managed by one subsidiary of PT Mido Indonesia with clients including government agencies, private companies and SOEs.

 

Wientoro Prasetyo, President Director of PT Lotus Andalan Sekuritas as well as Underwriter, said that during the initial bookbuilding period, Trisula's IPO price is offered between Rp 140-150 per share. That is, by releasing up to 300,000,000 shares or 20.69% of paid up capital, the company in the textile sector gets funding of Rp 45 billion.

 

The Company has obtained an effective statement from the Financial Services Authority (OJK) on September 25, with the offering period September 26-28, and the share allotment scheduled on September 29, 2017. Trisula shares oversubscribed as much as 1.62 times.

 

According to Karsongno, the IPO proceeds of Rp 45 billion, most of which is 71% will be used to buy machines to support the production process of the Company. While the remaining 29%, funds will be allocated for working capital to support the company's operations. Machines that will be purchased both in 2017 and in 2018 are mostly weaving machines.

 

In addition to trusting PT Lotus Andalan Sekuritas, PT Artha Sekuritas Indonesia, PT Erdikha Elit Sekuritas, PT KGI Securities Indonesia, PT NH Korindo Sekuritas Indonesia, PT Panin Sekuritas Tbk and PT Profindo Sekuritas Indonesia.

 

Shares of employees

In addition to offering shares to the public, the company also provides share allocation to employees or employee stock allocation (ESA) of 0.38% of the total shares offered in the public offering or 1.15 million shares.

 

R. Nurwulan Kusumawati, Director of Finance & Administration and Corporate Secretary BELL added that the ESA program is intended for employees of the company and its subsidiaries totaling about 400 people and is not intended for directors and commissioners. ESA aims to enhance ownership of the company so it is expected to improve the company's performance.

 

After the public offering and ESA, the main shareholder of the company becomes as follows: PT Inti Nusa Damai owns 78.52% shares from 99% previously, PT Trisula Insan Tiara owns 0.79% shares from 1% previously, while employees own 0, 08% shares and public or public 20.61% shares.

 

The Company is operationally supported by seven subsidiaries namely PT Mido Indonesia, PT Cakra Kencana, PT Savana Lestari, PT Sinar Abadi Citranusa, PT Permata Busana Mas, PT Prima Moda Kreasindo and PT Tricitra Busana Mas.

 

Based on the Financial Statements As of March 31, 2017, Trisula's assets stood at Rp 414 billion, up 7% from the end of 2016 of Rp 387.98 billion. The company's revenue as of March 31, 2017 reached Rp 111.35 billion, divided into local sales of Rp 104.36 billion and export market sales of Rp 6.99 billion.

 

At the end of 2016, Trisula's local sales reached Rp 381.52 billion, while export sales amounted to Rp 34.64 billion. In 2016, the company's revenue is the biggest support from polyester business of Rp 255.07 billion, the rest from uniform business (uniform corporation) Rp 130.62 billion and Rp 30.47 billion from poly / rayon.

 

 

Prospek Industri Tekstil Sangat Menjanjikan

 

 

Direktur Utama PT Trisula Textile Industries Tbk - Karsongno Wongso Djaja memaparkan, prospek bisnis sektor tekstil sangat menjanjikan. Mengacu data Asosiasi Pertekstilan Indonesia (API), pertumbuhan industri tekstil di Indonesia diprediksi terus membaik dengan pertumbuhan rata-rata tahunan (CAGR) sebesar 7,9%.

 

"Industri tekstil dan produk tekstil (TPT) merupakan industri pengekspor terbesar kedua dengan kontribusi sebesar 10,8% atas total ekspor selama tahun 2016," ujarnya dalam keterangan pers di Jakarta, Rabu 4 Oktober 2017.

 

PT Trisula Textile Industries Tbk - salah satu pilar usaha Grup Trisula Corporation berkedudukan di Cimahi Jawa Barat, baru saja melakukan Pencatatan Perdana Saham (Listing) di Bursa Efek Indonesia. Perseroan dengan kode perdagangan saham BELL, menetapkan harga saat masa penawaran umum saham perdana atau intial public offering (IPO) pada level Rp 150 per saham atau berada di batas atas harga penawaran.

 

Prospek bisnis tekstil yang menjanjikan juga didukung dengan perkembangan fashion yang sangat pesat serta meningkatnya kebutuhan atas corporate uniform dari perusahaan perusahaan sebagai salah satu upaya membentuk image positif. "Industri tekstil memang sangat menjanjikan," kata Karsongno.

 

Saat ini, perseroan menggunakan merek Bellini dan Caterina untuk penjualan tekstil di pasar lokal (domestik) dan ekspor diantaranya ke negara Jepang, Timur Tengah Amerika Selatan, Australia dan Vietnam. Sedangkan untuk corporate uniform dikelola oleh salah satu anak usaha yaitu PT Mido Indonesia dengan klien-klien di antaranya instansi pemerintah, perusahaan swasta dan BUMN.

 

Wientoro Prasetyo, Direktur Utama PT Lotus Andalan Sekuritas sekaligus sebagai Penjamin Pelaksana Emisi Efek mengatakan, dalam masa penawaran awal (bookbuilding), harga IPO Trisula ditawarkan antara Rp 140-150 per saham. Artinya, dengan melepas hingga 300.000.000 saham atau 20,69% dari modal disetor, maka perusahaan di sektor tekstil ini mendapatkan dana sebesar Rp 45 miliar.

 

Perseroan telah memperoleh pernyataan efektif dari Otoritas Jasa Keuangan (OJK) pada 25 September, dengan masa penawaran 26-28 September, dan jadwal penjatahan saham dilakukan pada 29 September 2017 lalu. Saham Trisula mengalami kelebihan permintaan (oversubscribed) sebanyak 1,62 kali.

 

Menurut Karsongno, dana hasil IPO sebesar Rp 45 miliar itu, sebagian besar yakni 71% akan digunakan untuk membeli mesin-mesin guna mendukung proses produksi Perseroan. Sedangkan sisanya 29%, dana akan dialokasikan untuk modal kerja guna mendukung operasional perusahaan. Mesin yang akan dibeli baik di tahun 2017 maupun di tahun 2018 sebagian besar adalah mesin weaving.

 

Perseroan selain mempercayakan penjamin pelaksana emisi kepada PT Lotus Andalan Sekuritas, juga terdapat penjamin emisi efek lainnya seperti:  PT Artha Sekuritas Indonesia, PT Erdikha Elit Sekuritas, PT KGI Sekuritas Indonesia, PT NH Korindo Sekuritas Indonesia, PT Panin Sekuritas Tbk, dan PT Profindo Sekuritas Indonesia.

 

Saham karyawan

Selain menawarkan saham ke publik, perseroan juga memberikan alokasi saham kepada karyawan atau employee stock allocation (ESA) sebesar 0,38% dari jumlah saham yang ditawarkan dalam penawaran umum atau 1,15 juta saham.

Nurwulan Kusumawati, Direktur Keuangan & Administrasi merangkap Sekretaris Perusahaan BELL menambahkan, program ESA ini ditujukan untuk karyawan perseroan dan anak usaha yang berjumlah sekitar 400 orang dan tidak diperuntukkan bagi direksi dan komisaris. ESA bertujuan meningkatkan rasa memiliki terhadap perseroan sehingga diharapkan dapat meningkatkan kinerja perusahaan.

 

Setelah penawaran umum dan ESA, pemegang saham utama perseroan menjadi sebagai berikut:  PT Inti Nusa Damai memiliki saham sebanyak 78,52% dari sebelumnya 99%, PT Trisula Insan Tiara memiliki 0,79% saham dari sebelumnya 1%, sedangkan karyawan memiliki 0,08% saham dan masyarakat atau publik 20,61% saham.

 

Perseroan secara operasional didukung oleh tujuh anak usahanya yakni PT Mido Indonesia, PT Cakra Kencana, PT Savana Lestari, PT Sinar Abadi Citranusa, PT Permata Busana Mas, PT Prima Moda Kreasindo, dan PT Tricitra Busana Mas.

 

Berdasarkan Laporan Keuangan Per 31 Maret 2017, aset Trisula tercatat sebesar Rp 414 miliar, naik 7% dari akhir tahun 2016 sebesar Rp 387,98 miliar. Pendapatan perusahaan per 31 Maret 2017 mencapai Rp 111,35 miliar, terbagi atas penjualan lokal Rp 104,36 miliar dan penjualan pasar ekspor sebesar Rp 6,99 miliar.

 

Akhir tahun 2016, penjualan lokal Trisula memencapai Rp 381,52 miliar, sedangkan penjualan ekspor sebesar Rp 34,64 miliar. Pada tahun 2016, pendapatan perseroan di-support paling besar dari bisnis polyester Rp 255,07 miliar, sisanya dari bisnis uniform (seragam korporat) Rp 130,62 miliar dan Rp 30,47 miliar dari poly/rayon.
